Terms & Conditions

Who we are
Unbranch is an Australian business based in Victoria, Australia, registered under ABN 20 166 775 356. In these terms, “we”, “us” and “Unbranch” mean that business, and “you” means the person using Unbranch and, if you use it for an organisation, that organisation.
These terms cover this website, the Unbranch portal at portal.unbranch.ai, the documentation at docs.unbranch.ai, the Unbranch API and MCP connector, and the @unbranch/kit developer kit (together, “the service”). Read them with our Privacy Policy. By creating an account or using the service, you agree to these terms.
Who can use it
You must be at least 18. Unbranch is built for teams using it for work. If you accept these terms for an organisation, you confirm you are allowed to bind it, and the organisation is responsible for how its members use the service.
Your account
Give accurate details and keep your sign-in secure. You are responsible for what happens under your account, including what the AI tools you connect do on your behalf: anything an agent drafts or sends through your connection is done as you. Tell us at once at info@unbranch.ai if you think your account has been misused. Team owners and admins decide who belongs to their team, which projects each member can see, and the team’s plan.
Your content
What you and your team put into Unbranch, including material you import, proposals, decisions and their history (“your content”), stays yours. You give us permission to host, copy, process and display it only as needed to run, secure and support the service for you, including sending it to AI model providers when you or your connected tools use AI features. We do not use your content to train AI models and do not sell it.
You confirm you have the right to put your content into Unbranch and that doing so does not break any law, contract or confidentiality duty. Do not put in material you are not allowed to share with us and our service providers, or sensitive information such as health records or government identifiers that the service does not need.
We access your content only when you ask us to help with something, to keep the service secure and working, or when the law requires it.
AI features and output
Some features use AI models to draft a description of your product from your material or to check a proposal before review. AI output can be wrong, incomplete or misleading. It is a first draft for people to read, not advice and not a decision. Unbranch is designed so that consent, acceptance, rejection, delivery and verification are always made by people; you are responsible for checking what an AI suggests before you or your team rely on it.
Plans, credits and billing
Unbranch has a free plan and paid plans. Plan limits, model credits and prices are shown in the portal before you buy. Paid plans are billed to the team, per member, in US dollars, in advance, monthly or yearly through Stripe, and renew automatically until cancelled. We are not currently registered for Australian GST, so our prices do not include GST; if that changes we will show it on your invoices. You are responsible for any other taxes your organisation owes on its purchase.
Model credits come with your plan, reset on the first day of each month (UTC), do not roll over, and have no cash value. A team owner or admin can cancel from Billing at any time; the paid plan continues until the end of the period already paid for and then moves to the free plan. Downgrading never deletes your content, but the free plan’s limits then apply to what you add.
Payments are not refundable for partly used periods or unused credits, except where we end the service or a paid feature early (see below) or where the law requires a refund. If a payment fails, Stripe will retry it; if it cannot be collected, the team moves to the free plan.
We may offer free trials or grant a plan for a limited time; a grant ends on the date shown, and the team then stays on the plan it has paid for, or moves to the free plan.
Changes to prices and the service
We will give team owners and admins at least 30 days’ notice by email before a price increase takes effect for an existing paid plan; it applies from your next renewal, and you can cancel before then. The service will change as we improve it. If we remove or materially reduce a paid feature during a period you have paid for, we will tell you, and if you cancel because of it we will refund the unused part of that period.
Acceptable use
Do not: break, probe or bypass the service’s security or limits; access another team’s data or an account that is not yours; overload, scrape or reverse engineer the service, except as the law allows; resell or share it outside your team; upload malware; or use it for anything unlawful, deceptive, harassing, or that infringes someone else’s rights. Automated access is allowed through the MCP connector and API within their published limits.
Our service and feedback
We own the service, its software, design and the Unbranch name and logo. These terms give you the right to use the service while your account is open; they do not transfer any of our intellectual property to you. The @unbranch/kit developer kit is open source and is licensed under its own MIT licence. If you send us feedback or ideas, we may use them to improve Unbranch without owing you anything for them.
Other services you connect
You may connect Unbranch to other services, such as Claude, Cursor, VS Code or other MCP clients, and sign in with Google. Those services are provided by others under their own terms; we are not responsible for them or for what they do with information you give them.
Availability and security
We take reasonable steps to keep the service available and your content secure, but the service is provided over the internet and interruptions, errors and data loss can happen. Keep your own copies of anything you cannot afford to lose; the ledger can be exported from the portal. If a data breach is likely to cause serious harm to you, we will tell you and do what the law requires.
Suspension and ending
You can stop using Unbranch at any time and ask us to delete your account. We may suspend or close an account, or limit access, if it breaches these terms in a serious way or does not fix a breach after we ask, if the law requires us to, or if that is needed to protect the service or other users; where practical, we will warn you first. We may also stop offering the service by giving at least 30 days’ notice, and will refund the unused part of any period you have paid for.
When an account or team is closed, we delete its content as described in our Privacy Policy, apart from records we must keep by law. Sections of these terms that by their nature should continue, such as those on liability, keep applying after your account ends.
Your rights under Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee or warranty, that cannot lawfully be excluded, restricted or modified. Where the law allows us to limit our liability for failing to meet a consumer guarantee, our liability is limited, at our choice, to supplying the services again or paying the cost of having them supplied again.
Limits on liability
Apart from the rights in the section above, and to the extent the law allows:
the service is provided as is and as available, and we do not promise that it will be uninterrupted, error free or suited to a particular purpose, or that AI output will be accurate;
neither you nor we are liable to the other for indirect or consequential loss, or for loss of profit, revenue, data, goodwill or opportunity, however caused; and
each party’s total liability to the other arising out of or in connection with the service or these terms is limited to the greater of the amount you paid us for the service in the 12 months before the event giving rise to the claim, and US$100.
These limits do not apply to liability for fraud, wilful misconduct, personal injury or death, your obligation to pay fees you owe, or your responsibility under the next section.
Claims about your content
If someone brings a claim against us because your content infringes their rights, or because of your unlawful use of the service, you will cover our reasonable costs and losses from that claim, to the extent the claim was caused by your content or that use. We will tell you about the claim promptly and let you take part in responding to it.
Changes to these terms
We may update these terms as the service changes. We will note the date above, and for a change that materially affects you, we will email account holders at least 30 days before it takes effect. If you do not agree to a change, you can close your account before it takes effect, and we will refund the unused part of any period you have paid for.
Disputes and governing law
If you have a problem with Unbranch, please contact us first and we will try in good faith to resolve it within 30 days. These terms are governed by the law of Victoria, Australia, and you and we submit to the courts of Victoria and the courts that can hear appeals from them. This does not stop you from using any consumer protection rights or forums available to you where you live.
General
These terms, with our Privacy Policy and anything you agree to when you buy a plan, are the whole agreement about the service. If part of them is unenforceable, the rest still applies. If we do not enforce a right straight away, we have not given it up. You may not transfer your rights under these terms without our written agreement. We may transfer them to a company or other business that takes over the service, including a company set up to run Unbranch, and will tell you when we do. We send notices to your account’s email address; you can send notices to info@unbranch.ai.
